Terms and Conditions

Baseline Power - Terms and Conditions
These Terms and Conditions ("Terms") govern the relationship between Baseline Power Limited ("we", "us", "our") and the client ("you", "your") in relation to the energy consultancy services we provide. By engaging our services, you agree to be bound by these Terms.
1. Scope of Services
Baseline Power provides professional energy consultancy services. These may include, but are not limited to:
- Energy procurement advice and supplier negotiations
- Market analysis and pricing recommendations
- Contract review and management support
- Bill validation and cost recovery
- Energy reporting and compliance support (including ESOS and SECR)
- Carbon and sustainability advisory services
We act as your advisor and intermediary. We do not supply energy directly. All energy supply contracts are between you and the chosen supplier.
The specific scope of work for each engagement will be confirmed in writing (whether by email, proposal, or engagement letter) before work begins.
2. Working Together
To deliver our services effectively, we need your cooperation. This includes:
- Providing accurate and timely information about your energy usage, meters, and existing contracts
- Granting a Letter of Authority (LoA) where required, allowing us to act on your behalf with suppliers and third parties
- Responding promptly to requests for decisions, approvals, or information
- Notifying us of any material changes to your energy requirements or business circumstances
Delays or inaccuracies in the information you provide may affect the quality, timing, or outcome of our services. We shall not be held liable for any loss or disadvantage arising from incomplete or incorrect information supplied by you.
3. Supplier Relationships and Quotations
We obtain quotations from energy suppliers on your behalf. These quotations:
- Are subject to the supplier's own terms and conditions
- May be time-limited and subject to market fluctuations
- Are provided in good faith based on the information available at the time
We do not guarantee that any particular price, rate, or saving will be achieved. Energy markets are volatile and prices can change without notice.
Non-Circumvention
You agree not to approach or contract directly with any supplier introduced to you by Baseline Power, bypassing our involvement, for a period of 12 months following the introduction. If you do, we reserve the right to invoice you for the fees that would have been payable had the contract been placed through us.
Commission Arrangements
Where our fees are structured as a commission included in the energy rate, this will always be disclosed to you in advance. We believe in full transparency and will confirm the commission amount or rate before any contract is agreed.
4. Reports
Any reports, analysis, or recommendations we provide are based on the data available to us at the time and are intended solely for your internal use. They should not be shared with third parties or relied upon for purposes other than those for which they were prepared without our prior written consent.
5. Confidentiality and Use of Information
Both parties agree to keep confidential any commercially sensitive information shared during the course of our engagement. This includes (but is not limited to):
- Pricing, rates, and contract terms
- Energy consumption data
- Business strategies and internal processes
This obligation survives the termination of our agreement and does not apply to information that is already publicly available or required to be disclosed by law.
Data Protection
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Statement, available on our website, sets out how we collect, use, store, and protect your data. By engaging our services, you confirm that any personal data you share with us has been obtained lawfully and that you have the necessary consents to share it.
6. Intellectual Property Rights
All tools, methodologies, templates, reports, and materials developed by Baseline Power remain our intellectual property. You are granted a non-exclusive, non-transferable licence to use any deliverables we provide for your internal business purposes only. You may not reproduce, distribute, or share our materials without prior written consent.
7. Fees and Payment
Our fees will be agreed in writing before work begins. Fees may be structured as:
- A fixed consultancy fee
- A per-meter or per-site fee
- A transparent commission included in the energy rate (always disclosed to you)
- A combination of the above
Invoices are payable within 30 days of issue unless otherwise agreed. We reserve the right to charge interest on overdue payments at 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
If our scope of work changes significantly, we will discuss revised fees with you before proceeding.
Non-Payment
If payment is not received within 60 days of the invoice date, we reserve the right to suspend our services until the account is brought up to date. Continued non-payment may result in the termination of our engagement and referral to a debt recovery service.
8. Limitation of Liability
While we take every reasonable care in delivering our services:
- We do not guarantee specific outcomes, savings, or results
- We are not liable for losses arising from supplier failures, market movements, regulatory changes, or factors beyond our reasonable control
- We shall not be liable for any indirect, consequential, or special losses, including (but not limited to) loss of profit, loss of revenue, loss of business opportunity, or loss of data
- Our total liability under these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the claim
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
9. Indemnity
You agree to indemnify and hold Baseline Power harmless against any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising from: inaccurate or misleading information provided by you; your breach of a supplier contract; your use of our deliverables outside the agreed scope; or any breach of these Terms by you.
10. Force Majeure
Neither party shall be liable for delays or failure to perform obligations where such delay or failure results from events beyond reasonable control, including (but not limited to) natural disasters, pandemics, government actions, energy market disruptions, cyber-attacks, supplier insolvency, or failures in third-party systems or infrastructure.
11. Ending the Relationship
Either party may terminate the engagement by giving 30 days written notice, unless a different notice period has been agreed in writing.
On termination:
- Any outstanding fees for work already completed remain payable
- We will return or securely destroy any of your confidential data (subject to legal retention requirements)
- Existing energy contracts placed through us will continue under their own terms with the supplier
- Clauses relating to confidentiality, intellectual property, limitation of liability, and indemnity shall survive termination
We may terminate immediately if you are in material breach of these Terms and fail to remedy the breach within 14 days of written notice. You may terminate immediately if we are in material breach of these Terms and fail to remedy the breach within 14 days of written notice from you.
12. Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through good faith negotiation in the first instance.
If the dispute cannot be resolved informally within 30 days, either party may refer the matter to mediation through an agreed mediator or, failing agreement, through the Centre for Effective Dispute Resolution (CEDR).
Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from the courts where necessary.
These Terms are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
13. General
- These Terms, together with any written proposal or engagement letter, constitute the entire agreement between us and supersede all prior discussions, representations, or agreements.
- No variation of these Terms is effective unless agreed in writing by both parties.
- If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Our failure to enforce any right under these Terms at any time does not constitute a waiver of that right.
- These Terms do not create any rights enforceable by any third party under the Contracts (Rights of Third Parties) Act 1999.
